Terms & Conditions

These Terms and Conditions govern the business relationship between niicee ("we", "us") and any client who engages our services. By confirming an engagement in writing, you agree to these Terms.

1. Who We Are

niicee operates through two legal entities. The entity identified on your proposal or invoice is the sole contracting party for your engagement. Full company details are available on our Legal Notice page.

2. B2B Services Only

Our services are provided exclusively to business clients acting in a professional capacity. By engaging with us you confirm you are authorised to act on behalf of a legal entity. These Terms do not apply to individual consumers.

3. Engagements & Contracts

All engagements are governed by a written agreement, proposal, or accepted invoice. Where a separate written contract exists between the parties, that contract takes precedence over these Terms.

4. Payment

Payment terms are set out in each individual proposal or invoice. Failure to pay on time may result in suspension of services. All fees are non-refundable unless otherwise agreed in writing.

5. Cancellation & Rescheduling

Cancellation and rescheduling conditions are agreed on a per-engagement basis and stated in the relevant proposal or contract. In the absence of a specific agreement, cancellations must be submitted in writing to hello@niicee.com and are subject to our discretion.

6. Intellectual Property

All materials, methodologies, and content created or provided by niicee remain our intellectual property. Clients receive a non-exclusive, non-transferable licence to use delivered materials internally. Redistribution or resale requires our prior written consent.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during an engagement. This obligation continues for a reasonable period after the engagement ends.

8. Limitation of Liability

To the fullest extent permitted by applicable law, niicee's liability for any claim arising from an engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, consequential, or incidental losses of any kind.

9. Governing Law

For clients established in the European Union, these Terms are governed by the law of the EU Member State in which the client is established. For all other clients, these Terms are governed by the laws of the United Arab Emirates and disputes are subject to the jurisdiction of the courts of Dubai.

10. Changes

We may update these Terms at any time. The version in effect at the time of your engagement applies. Continued engagement after an update constitutes acceptance.
